1. Agreement and scope
These Terms of Service (the "Terms") govern your use of sdgatx.com, SDG Mobile, and the related Stardust Garage membership, ticketing, event, venue-access, and communications services (collectively, the "Services"). By creating an account, applying for membership, purchasing or claiming a ticket, using the Services, or entering the venue, you agree to these Terms.
If you use the Services for an organization, you represent that you are authorized to accept these Terms for that organization. Some Services are also governed by an event listing, checkout terms, liability waiver, photo/video release, membership application, or another agreement presented to you. If a specific agreement conflicts with these Terms, that specific agreement controls for the subject it addresses.
2. Eligibility and age requirements
Stardust Garage is a 23+ venue. Guests must be at least 23 years old to enter unless Stardust Garage expressly designates the event as all ages. For attendees under 18 at an all-ages event, a parent or legal guardian must complete the required minor waiver.
You must be at least 18 years old to create an account, buy or claim admission, or join a membership. Having an account, ticket, RSVP, or membership does not override the venue admission age requirement.
You must be at least 21 years old to purchase, possess, or consume alcohol, and you must present valid government-issued identification when requested.
We may refuse entry, service, or access for any lawful reason, including age, identification, safety, conduct, capacity, or compliance concerns. Nothing in these Terms requires us to serve alcohol to any person. We reserve the right to refuse alcohol service and to follow all applicable Texas Alcoholic Beverage Commission (TABC) requirements and other laws.
3. Accounts and security
You are responsible for providing accurate account information and keeping it current. Keep your login credentials, device, ticket credentials, and QR codes secure. Do not share your account or use another person's account without permission. Promptly notify us at hello@sdgatx.com if you suspect unauthorized access or a security incident involving your account.
You are responsible for activity that occurs through your account to the extent caused by your failure to protect it. We may suspend or protect an account if we reasonably believe it has been compromised, is being misused, or presents a safety or legal risk.
4. Privacy and electronic communications
Our Privacy Policy explains how we collect, use, and disclose personal information and is incorporated into these Terms. By using the Services, you consent to receiving transactional communications electronically, including confirmations, account notices, security notices, ticket information, waiver records, membership notices, and legal notices. You may manage marketing email and push-notification preferences as described in the Privacy Policy, but cannot opt out of communications necessary to provide the Services or comply with law.
5. Memberships, recurring billing, and cancellation
Membership availability, benefits, eligibility, price, billing cadence, and any trial conditions are shown at or before enrollment. Memberships may require an application and approval. Benefits are personal, nontransferable, and may be limited by capacity, event rules, booking requirements, and the membership tier then in effect.
If you enroll in a paid membership, you authorize Stardust Garage and Stripe to charge the payment method you provide at the stated recurring interval until you cancel. We may change membership pricing or benefits prospectively with advance notice as required by law. A price change will not apply before the end of your then-current paid billing period unless you affirmatively agree otherwise.
You may cancel a membership by emailing hello@sdgatx.com before your next renewal date. Unless we state otherwise in writing, cancellation takes effect at the end of the current paid billing period, and you may use applicable benefits through that date. Membership charges are not refundable for a partially used billing period, unused benefits, missed visits, suspension for your misconduct, or a cancellation requested after a renewal has been charged, except where required by law or expressly approved by Stardust Garage in writing. Deleting your account does not itself cancel a membership.
We may suspend, modify, or end a membership or particular benefit for safety, capacity, legal compliance, nonpayment, fraud, misuse, or a violation of these Terms or venue rules. If we end a paid membership without cause before the end of a paid period, we will provide a pro-rated refund or comparable credit unless an applicable law requires another remedy.
6. Tickets, RSVPs, and events
Purchases and admission
Ticket prices, any booking or service fees, taxes, ticket limits, availability, and eligibility conditions are displayed before checkout. A ticket or RSVP is a revocable, personal license to attend the identified event, not an ownership interest in the event. It remains subject to these Terms, the event listing, venue rules, capacity, and a valid waiver where required. We may require government-issued identification and may deny admission if the ticket holder cannot establish eligibility.
Refunds, changes, and no-shows
Except as required by law or expressly stated in writing by Stardust Garage, ticket sales, RSVPs, and admission grants are final and non-refundable. Booking, processing, and similar fees are non-refundable except where required by law. We may change lineups, set times, performers, dates, venue areas, capacity, entry procedures, or other event details. A lineup or schedule change alone does not entitle you to a refund.
If Stardust Garage cancels an event and does not reschedule it, we will offer the original purchaser a refund of the ticket price or a comparable credit, unless a different remedy is required by law. If an event is rescheduled, your ticket will ordinarily be honored for the rescheduled event; if you cannot attend, any refund or credit will be handled only as required by law or as we expressly announce for that event. You are not entitled to a refund for a no-show, late arrival, denied entry caused by your conduct or ineligibility, violation of venue rules, or failure to complete a required waiver.
Transfers and resale
Tickets may be transferred only through a Stardust Garage feature or method we expressly allow. You may not sell, broker, auction, or otherwise transfer a ticket for more than face value or use tickets for commercial promotion, giveaways, or contests without our written permission. We may cancel tickets obtained through prohibited resale, fraud, chargeback abuse, bots, or other misuse, without refund to the extent permitted by law.
Force majeure
Neither party is responsible for a delay, interruption, or failure caused by events beyond reasonable control, including severe weather, fire, public-health emergency, government action, permit restrictions, utility or network failure, labor dispute, civil unrest, or acts of God. This section does not limit rights that cannot lawfully be limited.
7. Waivers, venue rules, safety, and alcohol
A signed or electronically accepted Stardust Garage liability waiver is required for every ticket, RSVP, admission credential, membership access, or venue visit unless Stardust Garage expressly states otherwise in writing. You must review and accept the current waiver when presented. The waiver is a separate agreement and may include an assumption of risk, release, photo/video release, no-refund provision, and other terms. Nothing in these Terms waives rights that cannot legally be waived.
You must follow posted venue rules and the lawful directions of staff, security, emergency personnel, and event operators. We may conduct reasonable bag checks, security screening, or identification checks as a condition of entry. Refusing a required safety check or instruction may result in denied entry or ejection without refund to the extent permitted by law.
Alcohol is subject to Texas law and venue policy. Do not furnish alcohol to anyone under 21, bring or consume alcohol contrary to venue rules, use a false ID, enter or remain while dangerously intoxicated, or interfere with responsible alcohol service. We may refuse alcohol service, refuse admission, remove a guest, or contact authorities when reasonably appropriate for safety or legal compliance.
8. Acceptable use and conduct
You may use the Services only lawfully and for their intended personal or authorized business purpose. You may not:
- violate any law, regulation, venue rule, waiver, or another agreement with Stardust Garage;
- threaten, harass, discriminate against, assault, stalk, or endanger another person;
- damage property, interfere with venue operations, evade security, or return after being lawfully told not to enter;
- use the Services to commit fraud, impersonate another person, submit false information, misuse a payment method, or evade ticket limits, eligibility rules, or a suspension;
- reproduce, reverse engineer, disrupt, probe, overload, bypass access controls for, or interfere with the Services or their security;
- use bots, automated means, or systematic extraction to access, monitor, copy, or collect data from the Services without our written permission;
- resell, broker, or commercially exploit tickets, memberships, or access credentials without our written permission; or
- upload or transmit unlawful, infringing, harmful, or malicious content.
We may investigate violations and suspend or terminate access, tickets, memberships, or venue privileges when reasonably necessary to protect safety, operations, rights, or legal compliance.
9. Your content and feedback
You retain ownership of content you submit to the Services, subject to the rights you grant here and any separate agreement. You grant Stardust Garage a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify only as needed to format or deliver, and use that content to operate, support, secure, and improve the Services and fulfill your request. This license ends when the content is deleted, except to the extent it has been incorporated into a record we must retain, used in aggregated or de-identified form, or retained in backups for a limited period.
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without compensation or obligation to you. Event photography, video, recordings, and likeness rights are governed by the applicable waiver or photo/video release.
10. Our intellectual property
The Services, Stardust Garage name, logos, visual identity, software, text, images, designs, and other content are owned by Stardust Garage or its licensors and protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nontransferable, nonexclusive right to use the Services for their intended purpose. No other rights are granted. Do not use our marks or content without written permission unless the law permits it.
11. Third-party services
The Services may link to or rely on third-party services, including Stripe, Supabase, Apple, Google, Expo, APNs, FCM, Mailchimp, and, for limited legacy events, TicketTailor. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services, except to the extent a liability cannot lawfully be disclaimed.
12. Suspension and termination
You may stop using the Services at any time. You may request account deletion as described in our Privacy Policy. We may suspend or terminate your access, tickets, membership, or venue privileges immediately when we reasonably believe you have violated these Terms, venue rules, a waiver, or law; engaged in unsafe, abusive, fraudulent, or disruptive conduct; failed to pay amounts due; or created risk to people, property, or operations.
Termination does not affect accrued payment obligations, rights to retain records as described in the Privacy Policy, the enforceability of any accepted waiver, or provisions that by their nature should survive, including intellectual-property, disclaimers, limitation of liability, indemnification, dispute resolution, and general terms.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, EVENTS, MEMBERSHIPS, TICKETS, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." STARDUST GARAGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT A PARTICULAR TIME, OR THAT AN EVENT, BENEFIT, ARTIST, PROGRAM, OR VENUE FEATURE WILL MEET YOUR EXPECTATIONS.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARDUST GARAGE AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, EVENT PRODUCERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO STARDUST GARAGE FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100. This section does not limit liability that cannot be limited by law, including liability for fraud, gross negligence, willful misconduct, or non-waivable consumer rights.
15. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Stardust Garage and its members, managers, employees, agents, contractors, event producers, and affiliates from third-party claims, damages, losses, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising from your violation of these Terms, unlawful conduct, misuse of the Services, or infringement of another person's rights. This does not require you to indemnify a party for that party's gross negligence, willful misconduct, or other liability that cannot be shifted by law.
16. Dispute resolution; individual arbitration; class-action waiver
Please read this section carefully. It requires most disputes to be resolved by individual binding arbitration and limits the way you can seek relief.
Informal resolution first
Before starting arbitration or a court action, the party with a dispute must send the other party a written notice describing the dispute and requested relief. Send notices to Stardust Garage at hello@sdgatx.com. We will send notices to the email address associated with your account or another reasonable contact method. The parties will try in good faith to resolve the dispute informally for 30 days after notice.
Binding individual arbitration
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration on an individual basis, not in court. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, as modified by these Terms. The arbitration will take place in Travis County, Texas, unless the parties agree to a remote hearing or applicable rules or law require another location. Judgment on the award may be entered in any court with jurisdiction.
Either party may bring an individual claim in small-claims court in Travis County, Texas, if the claim qualifies and remains in that court. Either party may seek temporary or permanent injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, prevent unauthorized access to the Services, or prevent imminent harm. To the extent a specific waiver or other agreement you separately accept includes a different dispute-resolution or venue provision, that specific agreement controls for disputes arising under that agreement.
The AAA rules will govern payment of filing, administration, and arbitrator fees, and Stardust Garage will pay or advance fees to the extent required by those rules or applicable law. Each party is responsible for its own attorneys' fees unless a law or arbitration award provides otherwise.
No class, collective, representative, or jury proceedings
YOU AND STARDUST GARAGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR OTHER REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY FOR THE INDIVIDUAL CLAIMANT AND ONLY TO THE EXTENT NECESSARY TO PROVIDE INDIVIDUAL RELIEF. YOU AND STARDUST GARAGE WAIVE THE RIGHT TO A JURY TRIAL FOR CLAIMS SUBJECT TO ARBITRATION.
If a court determines that applicable law prevents enforcement of the class, collective, or representative-action waiver for a particular claim, that claim must be severed and brought in a court of competent jurisdiction; the rest of this arbitration section remains in effect to the fullest extent permitted by law. If the arbitration agreement itself is found unenforceable, the dispute will be resolved exclusively in the state or federal courts located in Travis County, Texas, and each party consents to personal jurisdiction and venue there.
30-day opt-out
You may opt out of this arbitration agreement within 30 days after first accepting these Terms that contain it. To opt out, send a written notice to hello@sdgatx.com with the subject line "Arbitration Opt-Out" and include your full name, the email address associated with your account, and a clear statement that you wish to opt out. Opting out of arbitration does not affect any other part of these Terms. If you do not opt out on time, this arbitration agreement will apply to you.
17. Governing law
Except to the extent the Federal Arbitration Act applies to the arbitration section, these Terms and any dispute are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The venue provisions in Section 16 apply to any court proceeding permitted under these Terms.
18. Changes to the Services or Terms
We may change, suspend, or discontinue all or part of the Services. We may also update these Terms from time to time. We will post the updated Terms and change the effective date. For material changes, we will provide additional notice when required by law, such as email, in-app notice, or a prominent notice on the Services. Continued use after the effective date of updated Terms means you accept them to the extent permitted by law. Changes will not apply retroactively to a dispute for which the parties have already received a notice under Section 16, unless the law permits and the change expressly states otherwise.
19. General terms
These Terms, the Privacy Policy, and any agreement expressly incorporated by reference are the entire agreement between you and Stardust Garage about the Services, except for a separate agreement that expressly states otherwise. If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, acquisition, sale of assets, or operation of the Services.
